1. Introduction

Welcome to Earthy Digital (“we,” “us,” “our”), a brand of Sulagna Digital Private Limited, a company registered under the Companies Act, 2013, with its registered office at Amulya Bhavan, Manasapally, Sainthia, Birbhum , West Bengal, India.
By accessing our website at earthydigital.com, engaging with our services, or entering into any project agreement with us, you (“Client,” “you”) agree to be bound by these Terms and Conditions. Please read them carefully before proceeding.

2. Services Offered

Earthy Digital provides the following services, subject to individual project agreements:

The exact scope, timeline, deliverables, and pricing for each engagement will be defined in a separate Statement of Work (SOW) or Project Agreement signed by both parties.

3. Engagement & Project Agreement

3.1 All work commences upon written confirmation of scope, timeline, and payment terms — via email, signed proposal, or SOW.
3.2 Any changes to agreed scope must be requested in writing and may result in revised timelines and additional charges.
3.3 Earthy Digital reserves the right to decline any project at its sole discretion, including but not limited to projects that conflict with our values, legal obligations, or capacity.

4. Payment Terms

4.1 Standard payment structure: 50% advance before work begins; 50% upon delivery — unless otherwise agreed in writing.
4.2 Invoices are due within 7 calendar days of issue unless otherwise agreed.
4.3 Late payments beyond 7 days may attract a delay charge of 1.5% per month on the outstanding balance.
4.4 Work will be paused or withheld if payment milestones are not met. Earthy Digital shall not be held responsible for project delays arising from non-payment.
4.5 All prices are quoted in Indian Rupees (INR) unless explicitly stated otherwise. Applicable GST will be charged as per prevailing Indian tax law.

5. Intellectual Property

5.1 Upon receipt of full and final payment, all custom deliverables created exclusively for the Client become the Client’s property.
5.2 Until full payment is received, Earthy Digital retains all intellectual property rights over all work produced.
5.3 Earthy Digital retains the right to use the project in its portfolio, case studies, and marketing materials unless the Client explicitly requests confidentiality in writing before project commencement.
5.4 Any third-party components (open-source libraries, licensed fonts, stock assets, plugins) remain subject to their respective licenses. The Client is responsible for compliance with those licenses post-delivery.
5.5 Earthy Digital’s proprietary tools, frameworks, methodologies, and internal systems remain exclusively the property of Sulagna Digital Private Limited at all times.

6. Client Responsibilities

The Client agrees to:
  • Provide timely access to required content, credentials, approvals, and feedback as needed.
  • Designate a primary point of contact for the project.
  • Ensure that all content provided (text, images, data) is legally owned or licensed by the Client and does not infringe any third-party rights.
  • Not engage directly with Earthy Digital's personnel to circumvent the formal engagement process.
Delays caused by the Client’s failure to provide required inputs will not constitute a breach by Earthy Digital and may result in revised timelines.

7. Confidentiality

8.4 We shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption.

8. Warranties & Limitation of Liability

8.1 Earthy Digital warrants that deliverables will substantially conform to the agreed specifications at the time of delivery.
8.2 We do not warrant that software or digital products will be entirely error-free or uninterrupted in all environments after delivery.
8.3 Earthy Digital’s total liability under any engagement shall not exceed the total fees paid by the Client for that specific project.

9. Revisions & Post-Delivery Support

9.1 Projects include the number of revision rounds explicitly stated in the project agreement.
9.2 Revisions beyond the agreed scope will be billed at our prevailing hourly or project rate.
9.3 Post-launch support and maintenance are available under a separate Website Maintenance & Support agreement.

10. Termination

10.1 Either party may terminate the engagement with 14 days’ written notice.
10.2 Upon termination by the Client, all work completed to date will be invoiced, and advance payments for uncompleted milestones are non-refundable unless Earthy Digital is in material breach.
10.3 Earthy Digital may terminate immediately if the Client engages in abusive conduct, provides fraudulent information, or violates these terms.

11. Force Majeure

Neither party shall be liable for delays or failures arising from causes beyond reasonable control, including natural disasters, government actions, pandemics, or infrastructure failures.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall first be attempted to be resolved through mutual negotiation. If unresolved within 30 days, disputes shall be subject to the jurisdiction of the courts of Kolkata, West Bengal, India.

13. Amendments

Earthy Digital reserves the right to update these Terms at any time. Updated terms will be published on our website. Continued engagement with our services after any update constitutes acceptance of the revised terms.
